By accessing or using the Ugo mobile application (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Service.
You must be at least 13 years old to use Ugo. By using the Service, you represent and warrant that you meet this age requirement and are fully capable and competent to enter into and comply with these Terms.
Ugo may offer a limited Guest Mode that allows you to preview certain features without creating an account. Guest interactions are temporary and are not saved.
Full access to features—such as personalized recommendations—requires signing in with Apple or Google.
To use these full features, you may need to create an account. By creating an account, you agree to:
Provide accurate, current, and complete information during registration.
Maintain the confidentiality of your login credentials and accept responsibility for all activities under your account.
Notify us immediately of any suspected unauthorized access or security breach.
Ugo helps users discover local events, including concerts, theater performances, and cultural activities.
Ugo does not sell or manage tickets directly. When users click on links or purchase tickets, they are redirected to third-party websites. Ugo is not responsible for the accuracy, reliability, or availability of information or transactions on those external sites.
You agree not to engage in any of the following prohibited activities:
Violating any applicable law or regulation.
Infringing upon the rights of others, including intellectual property, privacy, or publicity rights.
Posting or sharing harmful, misleading, fraudulent, obscene, or inappropriate content.
Harassing, abusing, or harming another person or group.
Using the Service to send unsolicited messages, spam, or advertisements.
Impersonating another person or entity.
Accessing or using the Service in a way that could damage, disable, overburden, or impair the platform, or interfere with others’ use of it.
You retain ownership of any content you upload or share within Ugo (“Your Content”).
By posting Your Content, you grant Djokoo LLC a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of Your Content as necessary to operate and improve the Service.
All intellectual property related to the Ugo Service—including but not limited to logos, trademarks, design elements, and original features—remains the exclusive property of Djokoo LLC.
You agree not to copy, distribute, modify, or create derivative works based on any part of the Service without prior written consent.
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
Please review it carefully before using Ugo.
Ugo may contain links to third-party websites or services that are not owned or controlled by Djokoo LLC.
We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that Djokoo LLC shall not be liable for any damage or loss caused by the use of any such third-party services.
We may suspend or terminate your account or access to Ugo at our sole discretion, without prior notice, if we believe you have violated these Terms or engaged in fraudulent or harmful activity.
You may terminate your account at any time by following the in-app instructions or contacting support.
The Service is provided “AS IS” and “AS AVAILABLE.” Djokoo LLC makes no warranties of any kind, express or implied, including but not limited to:
The Service meeting your specific requirements.
The Service being uninterrupted, secure, or error-free.
The accuracy or reliability of event information or third-party content.
The quality or availability of tickets or services accessed through third-party links.
To the fullest extent permitted by law, Djokoo LLC, its officers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from:
Your use of or inability to use the Service.
Unauthorized access to or use of our servers and personal data.
Interruption or discontinuation of the Service.
Viruses or malicious software transmitted through third-party links.
Errors, omissions, or inaccuracies in content obtained through the Service.
These Terms shall be governed and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.
Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Minnesota.
We reserve the right, at our discretion, to update or modify these Terms at any time.
If a change is material, we will provide notice (e.g., via email or in-app notification) at least 30 days before new terms take effect. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
